The Kipushi Project S.A. is looking for a Managerial Leader I, Corporate Affairs (RDC_15_CORP_003)
The Kipushi Project, in the DRC's province of Haut-Katanga and southeast of the company's Kamoa discovery, is adjacent to the town of Kipushi and approximately 30 kilometers southwest of the provincial capital of Lubumbashi. Ivanhoe Mines acquired its 68% interest in the Kipushi Project in November 2011; the balance of 32% is held by the DRC's state-owned mining company, Gécamines.
The Kipushi Project is based on the high-grade, underground zinc-copper mine in the Central African Copperbelt, which mined approximately 60 million tonnes grading 11% zinc and 7% copper between 1924 and 1993. In addition to producing copper and zinc, the mine produced 12,673 tonnes of lead and approximately 278 tonnes of germanium between 1956 and 1978.

To advise management regarding legal aspects and risks related to the current operations of the Company (whether reputational or otherwise) and to manage the department (whether from a legal, reporting or governance & risk function) during operations.
You will have the following:
- Qualified lawyer, Bachelor of Law.
- 10+ years' relevant experience in civil and common law, managing a legal function.
- Prior in-house experience required.
- Experience in the mining environment highly advantageous.
- Fluency in French and English essential.
- Need to possess a certain level of Emotional Intelligence.
You will have advanced skills and knowledge in:
- DRC legislation.
- KICO strategic imperatives.
- Experience working in sub-Saharan Africa excluding South Africa.
- Experience in Permitting & Regulatory environments.
- Research to find required information.
- Knowledge of rationale and concepts behind advantageous.
- Ability to articulate legislation for a wide audience.
Your Key Performance Activities will include but not limited to:
Process: Define, manage and coordinate a world class Corporate Affairs function
Implement effective and efficient Corporate Affairs structures, polices, plans and governance structures for he implementation of the Company
- Drive the execution of the Corporate Affairs strategy in line with the Company objectives and business needs; determine departmental priorities and plans.
- Proactively define, coordinate and execute the Corporate Affairs initiatives - develop and embed policies, standards and processes.
- Streamline the department and drive alignment, collaboration and synergy between the various stakeholders to provide a comprehensive business solution.
- Drive the implementation of integrated corporate governance, compliance, integrity and ethics frameworks throughout the division and hold employees and service providers accountable for delivering on these frameworks.
Permitting - ensure all licenses required in line with the mines projects
- Understand the intentions of the business and departments within the business, so that appropriate permitting advice can be rendered in a timely fashion.
- Ensure the department understands the law, knows which permits are required, and that permits are applied for and obtained within required timeframes.
- Ensure all Material Permits and licenses, as specified from time to time by senior management, are in place within their required timeframes.
- Ensure the Annual Land Tax is paid.
- Educate business management about the nature of DRC permitting regulations and processes.
Provide the business with general legal assistance and education in the avoidance of fines
- Provide independent legal support and advice to ensure legal risks are identified and managed in accordance with KICO’s values, strategy and commercial objectives.
- Provide consulting support and services, by understanding business needs and customising actionable solutions, tools and resources.
- Provide senior management and relevant committees with assistance and advice for general ad hoc legal matters, communications and high-level strategy, and implement frameworks to ensure conformity in line with business needs.
- Advise and support on Human Resources matters including hiring policies, employment contracts, processes, training, terminations and templates – the HR department to operate with increasing autonomy.
- Monitor DRC law changes and their effect; understand their rationale and impact upon the business.
- Educate the management team on laws, law changes and what can be done to mitigate impact and risks
- Seek out solutions to ensure general business compliance.
- Facilitate an understanding throughout the business of how to avoid fines and remain legally compliant.
- Ensure appropriate government departments are engaged to seek exemption or reduction of issued fines.
- Where deemed necessary, engage Government Relations department and Ivanhoe to facilitate understanding with government authorities and resolution of disputes.
Manage Risk and Reputation
- Keep abreast and informed KICO and Ivanhoe Management of goings-on and events internal and external to the business that may present risk and reputational damage.
- Be proactive in managing risk and finding solutions.
- Report material changes which require input from superiors.
Policy Review
- Governance structures, policies, ways and manners, policies, processes etc. are drafted correctly, compatible and ready for submission.
- As member of the Policy and Standards Committee, review, interrogate and approve submissions presented by the Governance and Risk Committee and others.
- Assist and advise in establishing SOPs, and participate in sub-committees as required.
Drive effective problem solving and continuous improvement
- Identify and manage problems, escalated issues and operational risks.
- Analyse trends, anticipate issues and ensure contingency plans are in place.
- Analyse information, and interpret the trends to inform sound decision-making.
- Identify innovative ways to improve business practices, processes and synergies to save costs, increase efficiencies and improve service delivery.
- Benchmark legal and Corporate Affairs programs and practices against global best practices and advise on improvement opportunities or changing legislation.
