Purpose of Role:
The Junior Legal Counsel will support the United States Business Unit (USBU), primarily the Copper World, Mason, and other projects. This role oversees the preparation and execution of various contracts while ensuring compliance with Federal and State regulations. The incumbent will receive mentorship while interacting with senior management, professional staff, and vendors.
ROLE ACCOUNTABILITIES:
- Contract Management & Strategy: Oversee the preparation and execution of a variety of contracts, including nondisclosure agreements, consignments, terms and conditions, and consulting agreements.
- Negotiation & Review: Develop, evaluate, and negotiate contract terms while reviewing financial viability and ensuring compliance with Federal and State regulations.
- Legal Research & Analysis: Conduct detailed legal research on issues impacting the USBU and provide informed advice regarding contract terms.
- Risk Mitigation: Collaborate with other attorneys and business units to develop strategies that reduce the company’s contract risk.
- Litigation Support: Assist with administrative tasks related to litigation management, including the organization of discovery and supporting external counsel.
- Regulatory & Compliance: Support permitting efforts and monitor proposed changes to laws and regulations to assess potential impacts on operations.
- Corporate Governance: Assist in implementing and maintaining company policies and training managers on contract policies.
MINIMUM QUALIFICATIONS AND EDUCATION:
- Education: Juris Doctorate (J.D.) from an ABA-accredited law school.
- License: Must be licensed to practice law in at least one U.S. state, or have sat for/be scheduled to sit for the next available Bar Exam. Candidates not yet admitted to the Arizona Bar must be willing to obtain their Arizona License within one year of hire.
- Experience: 0-2 years of legal experience.
- Technical Skills: Proficiency in Microsoft Office Suite, Google Workspace, and legal research platforms.
- Communication: Excellent written and verbal communication skills with proficiency in drafting clear, concise, and legally sound documents.
- Analytical Ability: Ability to analyze complex legal issues and develop strategies and solutions.
PREFERRED QUALIFICATIONS:
- Operational Experience: Internships or clerkships in corporate law, environmental law, or real estate are highly valued.
