Vancouver, British Columbia – TheNewswire - January 12th, 2026 – Prismo Metals Inc. (“Prismo” or the “Company”) (CSE: PRIZ) (OTCQB: PMOMF) is pleased to announce that further to its news release December 31st, 2025, the Company has proceeded with an upsized closing (the “Closing”) of its previously announced non-brokered private placement of units of the Company (“Units”) at an issue price of $0.10 per Unit (the “Private Placement”). The Closing consisted in the issuance of 2,000,000 Units for gross proceeds of $200,000.
“Every subscriber in this last closing is either a new shareholder of Prismo or a subscriber who became a shareholder of Prismo through our 2025 private placement and decided to increase their holdings in our Company,” said Alain Lambert CEO of Prismo. “Our immediate priority is to undertake our fully funded drill program, as previously announced. This drill campaign will focus primarily on the historic Silver King mine site and will be for a minimum of about 1,000 meters. The objective is to test the upper half of the steeply dipping pipelike Silver King mineralized body as well as potential mineralization adjacent to the dense stockwork that was the focus of historic mining.”
Each Unit consists of one common share in the capital of the Company (a “Share”) and one common share purchase warrant of the Company (a “Warrant”). Each Warrant entitles the holder to purchase one Share for a period of thirty-six (36) months from the date of issue at an exercise price of $0.175.
The Company intends to use the net proceeds of the Private Placement primarily for drilling at its Silver King project and for general corporate purposes. There may be circumstances, however, where, for sound business reasons, a reallocation of funds may be necessary.
The Units issued pursuant to the Closing are subject to a four-month hold period from the closing date of the Closing under applicable Canadian securities laws, in addition to such other restrictions as may apply under applicable securities laws of jurisdictions outside Canada.
In connection with the Closing, the Company issued an aggregate of 120,000 finder’s warrants (the “Finder’s Warrants”) and paid finder’s commissions of $12,000 to a certain qualified finder. Each Finder’s Warrant is exercisable for a period of twenty-four (24) months from the date of issuance to purchase one Share at a price of $0.10. In addition, the Company paid a cash fee of $3,000 to a financial advisor.
